1.Background

The Client is the developer of a boutique residential townhouse development at 30 Kiteroa Terrace, Rothesay Bay, North Shore, Auckland. One of the completed residences, Unit 2/30 (4 bedrooms, 143m² floor area, freestanding, with Code Compliance Certificate and title issued), is being marketed for sale by Roman Hu, a licensed salesperson and Head of Projects with Ray White Mission Bay (the "Listing Agent").

The Client wishes to test paid digital advertising on the Meta platforms (Facebook and Instagram) as a channel for generating qualified buyer enquiries for the residence across the full buyer market (families, upgraders, first-home and investor buyers), with the Chinese-speaking buyer segment as an additional audience the Provider is well-placed to reach — incremental to, not in place of, the mainstream market. This engagement is a fixed-budget test intended to measure channel performance before any decision on a larger project-wide campaign.

The Provider offers digital marketing and advertising services under the Magic Engine brand and agrees to deliver the scope defined in this Agreement. The Provider is not a licensed real estate agent and provides marketing services only; it does not provide real estate agency work, property advice, or investment advice.

2.Services

The Provider will deliver services described as a "Meta Lead-Generation Test Campaign" for Unit 2/30 Kiteroa Terrace during the Term.

The complete scope of Services — including deliverables, the two-stage campaign structure, managed advertising spend, quantities, and out-of-scope items — is set out in Schedule A (Scope of Services) attached to and forming part of this Agreement.

Any change to the scope defined in Schedule A must be in writing and signed by both parties (see clause 10.2).

3.Term & Timeline

This Agreement commences on the date of signing by both parties (the "Effective Date") and continues for a period of twenty-eight (28) calendar days. Advertising activity commences only after the Provider has received the fee under clause 4 and the Client-supplied assets under clause 5.

Indicative delivery milestones (subject to Client / Listing Agent turnaround):

Content review and asset-approval turnaround is expected within two (2) business days of each request. Delays in Client or Listing Agent feedback may extend the Term proportionally.

4.Fees & Payment

The fee is a single, fixed, all-inclusive amount of NZD 2,000.00 covering the complete engagement: setup, creative production, landing page, campaign management, reporting, and the Meta advertising spend, which the Provider funds and manages through the Provider's own advertising account on the Client's behalf.

As this is a fixed-price engagement, there is no separate advertising-spend line item. The Provider allocates and manages the advertising spend at its discretion to optimise campaign performance, and there is no top-up or refund based on actual advertising spend.

GST note (for PM to confirm before issuing): the NZD 2,000.00 is stated as GST-inclusive. If the parties agree the fee should be exclusive of GST, the total payable becomes NZD 2,300.00 (NZD 2,000.00 + 15% GST). All invoices are issued as tax invoices under the Goods and Services Tax Act 1985.

Payment schedule

  1. 100% (NZD 2,000.00) invoiced on the Effective Date, payable within seven (7) days of invoice. The Provider will commence advertising spend only upon receipt of cleared payment, as the Provider funds the Meta spend from its own account.

All invoices issued as tax invoices under the New Zealand Goods and Services Tax Act 1985. Provider warrants it is GST-registered under the number stated above.

Late payment: interest at 2% per month compounding may be charged on any amount unpaid seven (7) days after the invoice due date, at Provider's discretion.

5.Client Responsibilities

To enable timely delivery, the Client (directly or through the Listing Agent) will:

  1. Provide the property marketing video, floor plans, interior renders, image gallery, and confirmed pricing / enquiry method for Unit 2/30 within three (3) business days of the Effective Date.
  2. Procure that the Listing Agent grants the Provider the necessary Meta access (Facebook Page content and advertiser access) and connects a WhatsApp Business number for enquiry intake.
  3. Provide timely review and written approval of advertising creative and landing-page copy within two (2) business days of each request.
  4. Warrant that all property claims, pricing, floor areas, compliance status (CCC / title), school-zone statements, and promotional statements supplied to the Provider are accurate and comply with the Fair Trading Act 1986.
  5. Ensure that all advertising and published content is approved before publication by the Listing Agent, who is a licensed salesperson under the Real Estate Agents Act 2008 (REAA). The Provider is not responsible for obtaining such REAA sign-off.
  6. Where advertising targets overseas or non-resident buyers, ensure that representations comply with the Overseas Investment Act 2005. The Provider does not advise buyers on overseas-investment eligibility.
  7. Bear all third-party costs (CRM platform, hosting, premium plugins, stock imagery) directly, other than the Meta advertising spend which is included in the fee under clause 4.

6.Intellectual Property

Upon full payment of all fees under this Agreement, the Provider assigns to the Client all rights, title, and interest in and to the final delivered advertising creative and landing-page content specifically created for Unit 2/30 under this Agreement (excluding any Provider tooling and third-party materials described below).

The Provider retains ownership of and the right to reuse:

The property marketing video and other assets supplied by the Client remain the Client's property. Third-party materials (stock images, fonts, plugins) remain licensed on their original terms.

7.Confidentiality

Each party will keep confidential any non-public information disclosed by the other party under this Agreement, including business plans, pricing strategy, financial data, and buyer data. This obligation continues for two (2) years after termination or completion of this Agreement.

Confidentiality does not apply to information that becomes public through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law.

8.Warranties & Limitation of Liability

The Provider will perform the Services with reasonable care and skill and in accordance with generally accepted industry standards for digital advertising services in New Zealand.

The Provider makes no guarantee as to lead volume, lead quality, enquiry numbers, cost per lead, viewings, offers, sales, deposits, or any commercial outcome. Advertising outcomes depend on many factors outside the Provider's control (including Meta platform policies, targeting rules and algorithm changes, competitor activity, pricing, and market conditions). Target metrics stated in the Executive Summary or Schedule A are aspirational, not contractual commitments.

The Provider is not a licensed real estate agent. Conversion of any lead or enquiry into a viewing, offer, sale, or deposit is the sole responsibility of the Listing Agent. The Provider does not provide real estate agency work, property advice, or financial / investment advice.

To the maximum extent permitted by law, the Provider's total aggregate liability under or in connection with this Agreement is limited to the total fees paid by the Client under this Agreement.

Neither party is liable for indirect, consequential, or loss-of-profits damages.

Nothing in this Agreement limits any rights the Client may have under the New Zealand Consumer Guarantees Act 1993 where it applies.

9.Termination

Either party may terminate this Agreement:

  1. For convenience, on seven (7) days' written notice. On such termination, the Client will pay Provider for all work performed and advertising spend already committed up to the date of termination, plus reasonable wind-down costs.
  2. For cause, immediately on written notice, if the other party materially breaches this Agreement and fails to remedy the breach within seven (7) days of written notice of the breach.

On termination, the Provider will hand over the final campaign report and any lead data collected up to the date of termination, and return any Client-supplied assets.

10.General

10.1 Governing law

This Agreement is governed by the laws of New Zealand and the parties submit to the exclusive jurisdiction of the New Zealand courts.

10.2 Amendment

Any variation to this Agreement (including any change to Schedule A) must be in writing and signed by both parties.

10.3 Assignment

Neither party may assign this Agreement without the written consent of the other, not to be unreasonably withheld.

10.4 Entire agreement

This Agreement (including Schedule A and the Chinese Executive Summary above, which is provided for convenience only and does not vary the English text) constitutes the entire agreement between the parties and supersedes any prior discussions, proposals, or written communications regarding the Services.

10.5 Notices

Notices under this Agreement may be given by email to the addresses listed in the Parties section and are deemed received on the next business day after sending.

10.6 REAA compliance

The Client acknowledges that publication of any advertising deliverable may require prior sign-off by the Listing Agent under the REAA. The Provider is not responsible for obtaining such sign-off, and is not liable for any REAA, Fair Trading Act, or Overseas Investment Act non-compliance arising from claims or approvals made by the Client or the Listing Agent.

11.Campaign Data, Leads & Privacy

11.1 Lead delivery

Individual buyer leads and enquiries generated by the campaign (name, contact details, and stated preferences) will be delivered to the Listing Agent (Roman Hu / Ray White Mission Bay) as the Client's nominated agent for follow-up. The Client acknowledges that the development is co-listed by multiple agencies and that leads generated under this campaign are directed to the Listing Agent.

11.2 Provider data retention

The Provider owns and retains the Meta Business Manager, advertising account, Meta Pixel / dataset, and all custom and engagement audiences created in the course of delivering the Services, together with aggregated performance data and audience insights. The Provider may retain a copy of lead records for its own records and for building audiences, and will use such data only in connection with services for the Client and the Listing Agent, and not to promote a competing agent or competing development, consistent with clause 7 and clause 11.3.

11.3 Privacy

Both parties will comply with the Privacy Act 2020. Personal information collected through the campaign will be collected via a landing page carrying an appropriate privacy notice, and used only for the purpose of marketing Unit 2/30 and related follow-up by the Listing Agent. The Provider acts as a data processor on behalf of the Client and Listing Agent for the individual lead data it passes on.

By signing below, the parties agree to be bound by this Agreement, together with the attached Schedule A (Scope of Services), which forms an integral part of this Agreement.

A.2Out of Scope

For clarity, the following are not included in this engagement and will require a separate scope of work (and separate fee) if requested:

  • Hosting viewings / open homes, offer negotiation, sale closing, deposit or settlement conversion (Listing Agent's responsibility)
  • Any guarantee of leads, enquiries, sales, or deposits
  • Advertising spend beyond the fixed all-inclusive budget in clause 4
  • Google Ads or any advertising platform other than Meta (Facebook / Instagram)
  • Content creation, posting, or advertising on WeChat, Xiaohongshu (RED), or other Chinese platforms (these remain the Listing Agent's own organic / private-channel activity, not part of this engagement)
  • Property photography, videography, or filming (Client supplies video, renders, floor plans)
  • REAA advertising compliance sign-off (Listing Agent's responsibility per clause 5.5)
  • Overseas Investment Act eligibility advice to buyers
  • CRM platform licence costs or complex API integration beyond the WhatsApp / lead webhook described above
  • Ongoing campaign management after Day 28
  • romanhu.com website build (delivered under the Provider's separate agreement with Roman Hu)

A.3Acceptance

Each deliverable is deemed accepted upon: (a) Client's or Listing Agent's written approval; or (b) silence for five (5) business days after delivery, whichever is earlier. Reasonable revisions requested within the review window are included; substantive rework beyond one full revision round per deliverable is out of scope.

This Schedule A is signed as a single instrument together with the main Agreement on the signature page above. No separate signature is required for this Schedule.
